These Terms of Service (“Terms”) are a legal agreement between you and ViolationIQ LLC (“ViolationIQ,” “we,” “us,” or “our”) governing your use of the ViolationIQ website, applications, and AI-powered restaurant health-violation analysis service (the “Service”).

1. Acceptance of terms

By accessing or using the Service, creating an account, or subscribing to a plan, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business.

2. Description of the Service

ViolationIQ is an AI-driven tool that helps US restaurant owners and operators analyze health department inspection notices, estimate fine-reduction odds, identify potential defense strategies, and draft appeal letters and response documents grounded in applicable state and local health codes. ViolationIQ is a software tool, not a law firm, and does not provide legal advice or legal representation.

3. Not legal advice

All AI-generated assessments, recommendations, letters, and documents are for informational purposes only. They do not constitute legal, regulatory, or professional advice. You should review every output carefully, consult a qualified attorney or compliance professional when appropriate, and submit any documents to government agencies only after your own review.

4. User accounts and responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials confidential and secure.
  • Notify us promptly of any unauthorized use of your account.
  • Be responsible for all activity that occurs under your account.

5. Acceptable use

You may not use the Service to:

  • Violate any applicable law, regulation, or government order.
  • Upload fraudulent, forged, or misleading documents.
  • Infringe intellectual property rights or privacy rights.
  • Interfere with the security, availability, or performance of the Service.
  • Attempt to reverse engineer, scrape, or probe the Service.
  • Send spam, malware, or harassing content.
  • Resell, redistribute, or sublicense access to the Service.

6. Subscriptions, payments, and billing

We offer monthly and annual subscription plans, as well as a one-time case fee. Prices are displayed in US dollars and may be updated from time to time. Subscription fees are billed in advance through our online reseller and Merchant of Record, Paddle.com.

Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

7. Cancellation and termination

You may cancel your subscription at any time through your account settings or by contacting Paddle. Your access will continue until the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, create a security or fraud risk, or repeatedly violate our policies.

8. Intellectual property

ViolationIQ owns all rights, title, and interest in the Service, including software, designs, trademarks, documentation, and AI models. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription or paid period. You retain ownership of the documents you upload, and you grant us a license to process them solely to provide the Service.

9. Service level

We strive to keep the Service available and accurate, but we do not guarantee uninterrupted, error-free, or completely accurate performance. AI outputs may contain errors or omissions. The Service is provided “as is” and “as available.”

10. Warranties disclaimer

To the fullest extent permitted by law, ViolationIQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that any specific outcome, fine reduction, grade improvement, or legal result will be achieved by using the Service.

11. Limitation of liability

To the fullest extent permitted by law, ViolationIQ’s total liability to you for any claim arising from the Service is limited to the amount you paid to us in the six months preceding the event. We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, data loss, or reputational harm, even if advised of the possibility. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

12. Indemnity

You agree to indemnify and hold harmless ViolationIQ and its officers, employees, and agents from any claim, loss, or damage arising out of your use of the Service, your uploaded content, or your violation of these Terms.

13. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in New York County, New York.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email. Continued use of the Service after the changes means you accept the updated Terms.
